1. Definitions:

• ATSPAR BD (ATSPAR BANGLADESH): Refers to the company providing the services described in this document. The full form of ATSPAR stands for Active, Trustful, Sincere, Patient, Accelerate, and Respectful.
• Client: Any individual or entity engaging ATSPAR BD for services.
• Services: The work or tasks undertaken by ATSPAR BD as agreed upon in the contract.
• Agreement: The contract between ATSPAR BD and the Client, outlining the terms and conditions under which services are provided.

2. Acceptance of Terms: By engaging ATSPAR BD for services, the Client agrees to be bound by these Terms & Conditions.

3. Services: ATSPAR BD provides a wide range of services including but not limited to Graphic Design, Branding, Web Design, Web Development, Video Editing, Motion Graphics, and more. Specific deliverables and timelines will be outlined in the Agreement.

4. Payments & Fees:

• A 50% upfront payment is required before the commencement of any project.
• The remaining 50% is due upon project completion and before final deliverables are handed over.
• Payments can be made via bank transfer, Payoneer, Xoom, Western Union or using platforms like Upwork and Fiverr where we also provide our services.
• Late payments may result in a delay in project delivery and could incur additional charges.

5. Revisions & Feedback:

• The Client is entitled to a specified number of revisions as outlined in the Agreement.
• Additional revisions beyond this may incur extra charges.
• Timely feedback from the Client is crucial to ensure project deadlines are met.

6. Intellectual Property:

• All intellectual property rights in the work created by ATSPAR BD for the Client remain with ATSPAR BD until full payment is received.
• Upon full payment, the Client is granted full ownership of the final deliverables.

7. Confidentiality:

• Both parties agree to maintain the confidentiality of any sensitive information shared during the project.
• Confidential information will not be disclosed to any third parties without prior consent.

8. Cancellation & Termination:

• Either party may terminate the Agreement with a 14-day written notice.
• If the Client cancels the project after the commencement, the upfront payment will not be refunded.
• ATSPAR BD reserves the right to terminate the project if the Client fails to provide necessary materials or feedback within a reasonable timeframe.

9. Liability:

• ATSPAR BD will not be held liable for any indirect or consequential damages arising from the use of deliverables.
• Any claims against ATSPAR BD must be made in writing within 30 days of project completion.

10. Governing Law: These Terms & Conditions shall be governed by and construed in accordance with the laws of Bangladesh.
